General Terms and Conditions (GTC)

§1 Scope

(1) These General Terms and Conditions (GTC) apply to all contracts concluded via the online shop https://www.neonframe.de between

– hereinafter referred to as “Provider” –

and consumers within the meaning of Section 13 of the German Civil Code (BGB) – hereinafter referred to as “Customer”.

(2) A consumer is any natural person who enters into a legal transaction for purposes that are predominantly neither commercial nor self-employed professional activities.


§2 Subject of the Contract

(1) The subject of the contract is the sale of personalized LED signs based on individual customer specifications.

(2) Due to personalization, minor deviations in color, size, or representation may occur. Such deviations do not constitute a defect, provided they are technically or production-related.

(3) The production and shipping of the products are carried out in part by commissioned external production and logistics partners.

(4) The products are designed for the European market (EU). For deliveries to other countries, the customer is responsible for compliance with local regulations and compatibility with the power grid and sockets.


§3 Conclusion of Contract

(1) The presentation of products in the online shop does not constitute a legally binding offer but rather a non-binding product display.

(2) By submitting an order, the customer makes a binding offer to purchase the goods contained in the shopping cart.

(3) The contract is concluded through:

express acceptance by email or

shipping confirmation or

delivery of the goods.

(4) Individual offers provided to the customer in the course of an inquiry do not constitute a legally binding offer but a non-binding invitation to place an order.

(5) The contract is only concluded upon acceptance of the order by the provider in accordance with paragraph (3). The content confirmed during the ordering process shall be decisive, not any previously submitted offer.


§4 Prices and Payment Terms

(1) All prices are stated in euros (€) and include the applicable statutory value-added tax.

(2) The following payment methods are offered:

PayPal

Klarna (including payment within 30 days, if offered by Klarna)

Credit card (Visa)

Payment via bank account / SEPA (if technically available)

(3) Payment processing is carried out via the respective payment service providers. Their terms and conditions shall apply additionally.


§5 Delivery and Delivery Time

(1) Delivery is made within Germany to the delivery address specified by the customer.

(2) Delivery time is generally 2–3 weeks after receipt of payment or payment approval.

(3) If a product is exceptionally unavailable, the customer will be informed without delay.


§6 No Right of Withdrawal

(1) There is no right of withdrawal pursuant to Section 312g (2) No. 1 BGB, as the products offered are individually personalized and manufactured according to customer specifications.

(2) By completing the order, the customer expressly agrees that the production of the personalized product may begin immediately after conclusion of the contract.

(3) A return or cancellation after the start of production is therefore excluded.


§7 Customer Obligations to Cooperate

(1) The customer is obliged to provide all information required for personalization completely and correctly.

(2) The customer is responsible for ensuring that their design (e.g. logos, lettering, designs) does not infringe any third-party rights (in particular copyrights, trademark rights, or name rights).

(3) The provider does not review the legal admissibility of the submitted content.


§8 Retention of Title

The goods remain the property of the provider until full payment has been made.


§9 Warranty (Defects Liability)

(1) The statutory warranty rights shall apply.

(2) A defect does not exist in the case of:

minor color deviations

minimal dimensional tolerances

technically unavoidable deviations in LED displays

(3) Obvious transport damage must be reported immediately to the carrier and the provider.


§10 Liability

(1) The provider shall be liable without limitation in cases of:

intent or gross negligence

injury to life, body, or health

(2) In cases of simple negligence, the provider shall only be liable for the breach of essential contractual obligations (cardinal obligations), limited to the foreseeable damage typical for the contract.

(3) Any further liability is excluded.

(4) The provider shall not be liable for delays or disruptions caused by external production or logistics partners, provided these are not due to intentional or grossly negligent conduct.


§11 Electrical Safety

(1) The LED signs are to be used exclusively in accordance with the enclosed instructions for use.

(2) No liability is assumed for damage caused by improper use or incorrect connection.

(3) The products are intended solely for their designated use. In particular, the applicable electrical connection requirements must be observed.

(4) The customer is obliged to check before use whether the product is suitable for the technical standards applicable in the respective country (e.g. mains voltage, plug type).

(5) No liability is assumed for damage caused by improper installation, modification, or use.


§12 Online Dispute Resolution

The European Commission provides a platform for online dispute resolution (ODR):

The provider is neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.


§13 Final Provisions

(1) The law of the Federal Republic of Germany shall apply, excluding the UN Convention on Contracts for the International Sale of Goods.

(2) Should individual provisions of these GTC be invalid, the validity of the remaining provisions shall remain unaffected.
